1. Nature & Scope of Services

TallyCloud (operated by Mieux Technologies Pvt Ltd) provides cloud infrastructure hosting, remote application streaming, data backup management, and technical support for accounting and business software, primarily TallyPrime and Tally.ERP 9.

Mieux Technologies provides secure hosting infrastructure in our Tier-4 datacenter in Noida NCR, India. We do not develop, license, or sell proprietary intellectual property belonging to Tally Solutions Pvt. Ltd. Customers must hold a valid, genuine Tally license to utilize the cloud hosting services.

2. Customer Accounts & Access Credentials

To utilize our services, the Customer must provide accurate business contact information. The Customer is solely responsible for maintaining the confidentiality of their remote desktop credentials, passwords, and multi-factor authentication devices.

Any actions performed under the Customer's designated user accounts shall be considered authorized by the Customer. Mieux Technologies must be notified immediately at [email protected] upon any suspected unauthorized credential access.

3. Tally License & Software Compliance

The Customer represents and warrants that they hold a valid, legal license for TallyPrime or Tally.ERP 9 (Single-User Silver, Multi-User Gold, or Rental) issued by Tally Solutions Pvt. Ltd.

Mieux Technologies Pvt Ltd operates strictly as an independent cloud hosting provider. TallyPrime, Tally.ERP 9, and Tally are registered trademarks of Tally Solutions Pvt. Ltd. Mieux Technologies is not affiliated with, sponsored by, or endorsed by Tally Solutions Pvt. Ltd.

4. Data Ownership & Privacy

100% Customer Data Ownership: The Customer retains sole, exclusive ownership, title, and copyright in and to all accounting datasets, ledgers, vouchers, customer databases, and financial files uploaded or processed in their cloud workspace.

Mieux Technologies asserts no rights of ownership over Customer data. Customer data is stored in encrypted format in our Tier-4 Noida NCR datacenter with automated backup copies to AWS S3. Mieux Technologies employees will not access Customer accounting files except when explicitly authorized in writing for assisted migration or technical support.

5. Service Fees, Taxes & Renewal

Hosting fees are billed in Indian Rupees (INR) on a prepaid monthly or annual recurring cycle, as chosen by the Customer upon order. All stated subscription fees are exclusive of applicable Goods & Services Tax (18% GST), which will be charged on all tax invoices.

Accounts past due by more than seven (7) calendar days may be temporarily suspended. In the event of non-payment exceeding thirty (30) days, Mieux Technologies reserves the right to terminate the workspace following prior written notice, after providing an opportunity to download a final data backup archive.

6. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Mieux Technologies Pvt Ltd shall not be liable for any indirect, consequential, punitive, or loss of profits arising from downtime, connectivity interruptions beyond our reasonable control, user operator error, or third-party telecommunications outages.

In all events, the aggregate liability of Mieux Technologies for any direct claims shall be strictly limited to the total fees paid by the Customer during the three (3) months immediately preceding the event giving rise to the claim.

7. Governing Law & Arbitration

Any dispute, claim, or controversy arising under or relating to this agreement shall first be subject to good-faith mutual consultation. If unresolved within thirty (30) days, it shall be referred to arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Noida NCR, Uttar Pradesh, India, and proceedings shall be conducted in the English language.
